What the code actually measures
There are two oxygen sensors around the catalytic converter. The upstream one swings rapidly as the engine management trims the mixture. A healthy converter stores and releases oxygen, which smooths that swing — so the downstream sensor should read comparatively flat.
P0420 sets when the computer compares the two and finds the downstream signal mirroring the upstream one too closely. It is not measuring the converter directly. It is measuring a difference between two sensors and inferring the converter from it.
That distinction is the entire reason this code is so often answered by an unnecessary $2,164–$2,483 part.
The causes, in the order to test them

The order is deliberate: it runs cheapest and most common first. An exhaust leak upstream of the rear sensor lets fresh air in, and fresh air makes a perfectly good converter look dead to the computer.

Why the converter is the last part to buy
It is the most expensive part in the exhaust, and if something upstream killed the first one, that something will kill the second. A misfire that has been running for months has been feeding raw fuel into the catalyst the whole time — replacing the converter without fixing the misfire buys a second converter on the same schedule.
Can you keep driving
A steady light with P0420 alone is not an emergency. The car will run, and the practical consequences are an emissions test failure and slightly worse economy. Book it, do not panic.
The exception is P0420 alongside a misfire, particularly with a blinking light. That combination is actively destroying the converter as you drive — see the check engine light guide for why a flashing light means stop.
Fixing it properly
Pay for the diagnosis. one to one and a half hours of labor at $50–$180 at an independent shop against a $2,164–$2,483 part is the most obviously correct spend in this entire trade, and a shop that skips straight to quoting the converter has not earned the job.
